Payment Terms & Cancellation Policy

Payment Requirements

  • Setup Deposit: Required for most service projects (amount varies by scope)
  • Monthly Billing: Services billed in advance on monthly cycles

Grace Period Policy

10-Day Grace Period:

Begins on payment due date with email notification sent. Services remain active during grace period, but late fees apply.

Cancellation Terms

Free Website Definition

When Legways offers a "free website," this specifically refers to free hosting services for a defined period, typically one (1) year from the service activation date. The free website offer includes basic platform access and standard hosting infrastructure only.

Domain Registration & Management Policy

Third-Party Domain Procurement:

Domain registration services are provided through our third-party domain providers. Clients pay third-party registration fees plus Legways management fees for platform integration and ongoing domain maintenance.

  • New Domain Purchase: Legways procures domains through third-party providers on client's behalf
  • Existing Domain Transfer: Clients may transfer existing domains to Legways management (subject to approval)
  • Third-Party Fees: All domain registration and renewal costs charged at provider rates

Domain-Only Service Pricing

Variable Market Pricing:

Domain-only services are priced based on current market rates for each specific domain type, extension, and maintenance requirements at the time of service activation.

Domain-only pricing factors include: domain extension type, market demand, renewal costs, security requirements, and administrative overhead. Pricing is evaluated individually and subject to change based on market conditions.

Excluded Services & Add-Ons

The following services are NOT included in any free website or promotional offers:

Promotional Offer Limitations

Pro Bono Policy

Pro Bono Service Framework

At Legways, most services are paid. In limited cases we extend pro bono services to businesses that show strong potential for growth and alignment with our mission. Pro bono is selective and limited. It is never guaranteed.

Eligibility and Application

Businesses must submit a request for pro bono consideration. Each request is reviewed for fit with the applicant's goals and for clear value in return for Legways. Value may include measurable growth, meaningful visibility, a published testimonial, qualified referrals, or documented community impact.

Scope of Services

Service Limitations:

Not all services are eligible for pro bono. Receiving one service under this policy does not imply that other services will also be free. Domains, add-ons, operational costs, or premium features may carry fees even when a pro bono arrangement exists.

Active Use Requirement

Pro bono support requires active use. If a project shows no activity or produces no visible benefit within the review window, Legways may suspend or terminate the service without prior notice so that resources remain available to businesses that are ready to use them.

Appeals Process

Applicants or recipients may submit an appeal for reconsideration. Appeals are reviewed only when they present new or clarifying information and demonstrate seriousness in meeting the requirements.

Pro bono at Legways is an investment. We reserve it for businesses that show readiness and potential. When we invest, we expect matching commitment in return.

Service Termination Process

Termination Procedures

Automatic Termination

If payment remains outstanding after the 10-day grace period, managed services will be automatically suspended. Full termination occurs if the account remains inactive for 30 days after suspension, with all platform access revoked.

Discretionary Termination

We reserve the right to terminate service agreements at our discretion for violations of these terms, misuse of proprietary technology, breach of service compatibility requirements, or other reasonable causes that compromise our business integrity.

Data Retention Notice:

Upon termination, client data may be retained for up to 30 days for recovery purposes, after which it will be permanently deleted unless legally required for retention.

Data & Security Clause

Security Framework

We implement industry-standard security measures including encrypted data transmission, secure server infrastructure, regular security audits, and restricted access protocols to protect your information and our proprietary technology.

Unnecessary Purposes

"Unnecessary purposes" refers to any use of our managed services that falls outside the agreed-upon scope of your business activities. This includes illegal activities, unauthorized commercial exploitation, or any misuse of our proprietary platform resources.

Unsecure Data Points

"Unsecure data points" are those that lack adequate protection using industry-standard security measures. This includes unencrypted data, exposed APIs lacking proper authentication or encryption, and any access points that might expose sensitive service information.

Security Limitation:

By using our services, you acknowledge and accept inherent security risks associated with internet-based service platforms, while we maintain our commitment to industry-standard protection measures.

Client Responsibilities

Security Responsibility:

You are solely liable for damages resulting from account compromise due to negligence (weak passwords, ignoring security recommendations, etc.). Legways disclaims liability for third-party security breaches caused by client negligence.

Additional Services

Extended Partnership Services

Beyond our core technology platform, we may offer additional partnership services including business advisory, market research, brand strategy consultation, and specialized integrations. These extended services are selective and subject to partnership compatibility assessment.

Service Availability:

Additional services may have separate terms, pricing structures, and availability requirements. All extended services are subject to our approval and partnership capacity.

Extended services may include:

  • Strategic business consultation and advisory services
  • Multi-industry market research and competitive analysis
  • Custom platform integrations and development
  • Brand positioning and messaging optimization

Domain Management Services

Platform Compatibility Requirements:

Clients with domains on incompatible platforms may need to transfer to Legways-managed domain services before development can begin. Transfer evaluation provided on a case-by-case basis.

Comprehensive Domain Management:

Legways provides full-service domain management through our third-party provider network. We handle all technical aspects, renewals, and platform integration while maintaining administrative control for seamless service delivery.

Force Majeure

Uncontrollable Events

Legways shall not be liable for delays, failures, or inability to perform partnership obligations resulting from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, floods, earthquakes, or severe weather conditions
  • Government actions, regulations, or legal restrictions
  • War, terrorism, civil unrest, or acts of violence
  • Internet service disruptions, server outages, or cyber attacks
  • Labor disputes, strikes, or supplier failures
  • Pandemic or health emergency

Service Recovery:

During force majeure events, we will make reasonable efforts to restore services and communicate status updates to partnership clients as conditions permit.

Limitation of Liability

Comprehensive Liability Limitations

MAXIMUM LIABILITY CAP:

In no event shall Legways' total liability exceed the amount paid by you for services in the 12 months immediately preceding the claim, regardless of the cause of action or legal theory.

Excluded Damages

Legways shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data, use, goodwill, or other intangible losses
  • Damages from business interruption or technology downtime
  • Third-party claims or actions against your business
  • Costs of substitute services or technology replacements

Essential Protection:

These limitations apply regardless of whether Legways has been advised of the possibility of such damages and are essential for maintaining viable partnership service offerings.

Payment, Billing, and Refunds

Payment Obligations

Fees are due as invoiced unless otherwise stated in an order. Late balances may incur a late fee or service suspension after reasonable notice. Except as required by law or expressly stated in an order, all fees are non-refundable. Termination stops future billing but does not refund past charges.

Promotional "Free" Terms

Free offers are limited to the items expressly listed (for example, hosting for a defined period). Domain registration, premium features, and custom work are excluded unless expressly included. Conditions apply.

Non-Refundable Policy:

All fees paid to Legways are non-refundable except as required by law or expressly stated in your specific service agreement. This policy helps us maintain consistent service delivery and operational sustainability.

Domains

Domain Registration and Management

Domains may be registered by Legways on your behalf for operational convenience. You may request transfer of an active domain at any time, provided your account is in good standing. Transfer fees are fixed to cover administrative processing and any remaining registration costs:

  • Same-registrar push: $75
  • Cross-registrar transfer: $125
  • Expedited transfer (≤ 3 business days): $250

Legways will act as technical/administrative contact while under our management. Upon transfer completion, you become the registrant of record.

Children's Privacy and Client Responsibility

Age Restrictions and Child Data Protection

Our services are intended for adults (18+). We do not design or direct our services to children. We do not knowingly collect personal information directly from children under 13.

Client Responsibility for Child Data

If you choose to operate a service that collects or processes personal data of minors (for example, photo uploads from or about minors), you are solely responsible for ensuring that such collection and processing complies with applicable law (including verified parental consent where required), your posted notices, and your contract with Legways.

Child Data Addendum Required

Processing personal data of minors through environments we manage is prohibited unless you have executed a written Child Data Addendum (CDA) with Legways that (a) defines roles, (b) sets consent and age-screening obligations, (c) establishes retention/deletion rules, and (d) specifies the lawful basis and permitted purposes. Absent an executed CDA, you must not enable or attempt to enable child data processing in your environment.

Illegal Content:

Content involving child sexual exploitation or abuse is strictly prohibited and will result in immediate suspension and reporting to appropriate authorities consistent with applicable law.

If you believe a child's personal information has been submitted to us without appropriate authorization or contrary to this Agreement, contact privacy@legways.net for prompt review and action.

Photos, Images, and Biometric Information

Image Processing and Biometric Data

If your implementation involves uploading or processing photos or videos (including images of faces), you are responsible for obtaining all necessary rights and consents from the individuals depicted and for complying with any laws governing biometric identifiers or biometric information (for example, notice and consent requirements and retention/deletion schedules where applicable).

Biometric Processing Restrictions:

You must not use the services to create or store biometric identifiers or conduct face recognition matching unless expressly permitted by law and by a written addendum with Legways that defines scope and safeguards.

Third-Party Services and Storage

External Platform Integration

We integrate with reputable third-party platforms for hosting, authentication, storage, analytics, and payments. While we configure and monitor these integrations, outages, incidents, or data breaches originating from third-party providers are the responsibility of those providers. We will coordinate reasonable remediation actions within our control.

Clients remain responsible for their own configuration choices and any data they instruct us to process through third-party environments, including content rules (e.g., whether photos are permitted) and any additional legal obligations tied to such content (for example, parental consent for minors, sensitive data categories, or biometric laws).

Third-Party Responsibility:

While we maintain high standards for our third-party integrations, we cannot control or be held liable for the actions, policies, or security practices of external service providers.

Indemnification

Client Indemnification Obligations

You agree to indemnify, defend, and hold harmless Legways, its officers, employees, and agents from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of our partnership services or proprietary technology platform
  • Any breach of these terms or partnership agreement provisions
  • Violation of applicable laws, regulations, or third-party rights
  • Your business activities, products, or services provided to end customers
  • Unauthorized use of intellectual property or confidential information
  • Content, data, or materials provided by you or your end users

Client Responsibility:

Clients are ultimately responsible for maintaining adequate backups of their own business-critical data. Legways backup services are supplementary protection, not primary data security.

Feedback and Suggestions

Partnership Input & Platform Development

Feedback Ownership

Any feedback, suggestions, improvements, or ideas you provide to Legways regarding our platform, services, or technology become the exclusive property of Legways. We may use this feedback to improve our services without compensation or attribution.

Development Priorities

While we value partner feedback, Legways reserves the right to prioritize platform development based on business strategy, technical feasibility, and overall partnership ecosystem needs.

Dispute Resolution

Conflict Resolution Procedures

Mandatory Mediation

Before pursuing legal action, both parties agree to attempt resolution through good faith negotiations and, if necessary, binding mediation through a mutually agreed-upon mediator or mediation service.

Arbitration Agreement

If mediation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in the state where Legways is legally domiciled.

Class Action Waiver
